FRANKFURT (Reuters) - Germany’s Bayer (BAYGn.DE (https://www.reuters.com/finance/stocks/overview?symbol=BAYGn.DE)) will wrap up the $63 billion takeover of Monsanto (MON.N (https://www.reuters.com/finance/stocks/overview?symbol=MON.N)) on Thursday and also retire the U.S. seeds maker’s 117 year-old name.

The German drugmaker had received all required approvals from regulatory authorities, it said in a statement on Monday.

“Bayer will remain the company name. Monsanto will no longer be a company name. The acquired products will retain their brand names and become part of the Bayer portfolio,” it said.

Bayer launched a 6 billion euro ($7 billion) rights issue on Sunday, a cornerstone of the financing package for the deal, shortly after clearing the last major antitrust hurdle in the United States.

The deal is the first of a trio of major U.S.-German merger deals to cross the finish line at a time of harsh criticism by U.S. President Donald Trump of Germany’s trade surplus with the United States.

Bayer was expected to rid itself of the target’s name. Monsanto, the largest - though not the only - maker of genetically modified seeds, has been a lightning rod for environmentalists’ opposition to the technology.

The U.S. seed maker has also drawn criticism for pursuing its intellectual property rights with farmers, many of which depend on its seeds, more aggressively than its peers.

“We aim to deepen our dialogue with society. We will listen to our critics and work together where we find common ground. Agriculture is too important to allow ideological differences to bring progress to a standstill,” Bayer Chief Executive Werner Baumann said in the statement.

The companies’ separately listed Indian units, Bayer CropScience Ltd. (BAYE.NS (https://www.reuters.com/finance/stocks/overview?symbol=BAYE.NS)) and Monsanto India Ltd. (MNSN.NS (https://www.reuters.com/finance/stocks/overview?symbol=MNSN.NS)), will continue to operate independently for the time being, Bayer said in a separate statement.

Highly unlikely.

The "Frog March/Perp Walk" meme runs strong in these sectors, same as many other oldies but goodies.

The playbook is thin but it works, and as Jimmy and the Doors put it: "The streets are fields that never die".

I only say this because that's been happening around here.

It's literal and yet seems connected to your metaphor, Fred.


I have family that worked in the pharmaceuticals industry, in PR and sales. They will talk about the money and gifts and schmoozing and sort of admit it was really bad. But there were no active efforts of any kind to change anything. They did move on to other work. Sunday church helps them to feel better as well.


Blackwater is still around, just a new name.

Monsanto is still around, just a new name.

RoundUp will probably be re-named. But the chemicals will remain.



That old phrase, "The more things change, the more they stay the same" is not about sameness, it's about change. As in, change happens all the time.

It's just a matter of what direction we decide to go down that road.
